Terms of Service

Welcome to SolSentinel. These Terms of Service ("Terms") govern your access to and use of SolSentinel's smart contract auditing platform, including our website, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Definitions

  • "We," "Us," "Our" refers to SolSentinel and its affiliates.
  • "You," "Your," "User" refers to any individual or entity using the Service.
  • "Content" refers to any smart contracts, code, text, data, or other materials uploaded, submitted, or transmitted through the Service.
  • "Audit Report" refers to the security analysis output generated by our Service.

2. Acceptance of Terms

By creating an account, accessing the Service, or clicking "I Accept," you:

  • Confirm that you are at least 18 years old and have the legal capacity to enter into this agreement.
  • Represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
  • Agree to receive communications from us electronically, including service updates and billing notifications.

3. Description of Service

SolSentinel provides automated smart contract security analysis powered by AI and static analysis tools. Our Service includes:

  • Static code analysis using industry-standard tools (including Wake, Mythril, Solhint, and Foundry)
  • AI-powered vulnerability detection using Claude AI (with Grok AI fallback)
  • Regulatory compliance analysis (MiCA, SEC FIT21)
  • Risk scoring and remediation recommendations
  • API access for automated auditing (Pro/Enterprise tiers)
  • PDF report generation and compliance documentation

IMPORTANT DISCLAIMER

Our Service provides automated security analysis as a tool to assist developers. It does NOT constitute a guarantee that smart contracts are secure, bug-free, or production-ready. Users are solely responsible for conducting additional manual reviews, testing, and due diligence before deploying any smart contracts to production environments.

4. User Accounts

4.1 Account Creation

To access certain features, you must create an account through our Auth0 authentication system. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update your account information if it changes
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

4.2 Account Termination

We reserve the right to suspend or terminate your account at any time for:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of subscription fees
  • Prolonged inactivity (180+ days)

You may terminate your account at any time through the Settings page or by contacting support.

5. Service Tiers and Payment

5.1 Subscription Plans

We offer the following professional security plans:

  • Free Trial: 3 audits per month, 1,000 lines of code limit, Wake + Solhint static analysis + Claude AI, top 3 critical vulnerabilities
  • Developer Plan: $149/month (or $1,490/year), 15 audits per month, 5,000 lines of code limit, Wake + Solhint + Claude AI analysis, full vulnerability detection, AI-powered fix recommendations, PDF security reports, MiCA + SEC FIT21 compliance scoring, email support
  • Team Plan: $499/month (or $4,990/year), 55 audits per month, 15,000 lines of code limit, Wake + Solhint + Mythril + Claude AI, Foundry fuzzing engine, on-chain data analysis, API access (5 keys), branded PDF reports, line-by-line code analysis, exploit scenario modeling, priority queue processing, priority support
  • Enterprise Plan: $2,499/month (or $24,990/year), 300 audits per month, unlimited lines of code, full security stack (Wake + Solhint + Mythril + Foundry), Claude + Grok Multi-AI consensus, white-label reports, unlimited API keys, team accounts and permissions, proof-of-concept generation, continuous monitoring, custom integrations, dedicated account manager, SLA guarantee (99.9% uptime)
  • Diamond Plan: Custom pricing (contact sales), unlimited audits, unlimited lines of code, everything in Enterprise plus dedicated account manager, custom SLA, on-premise deployment option, custom integrations and webhooks

5.2 Payment Terms

All payments are processed through Stripe and are subject to:

  • Billing Cycle: Subscriptions are billed monthly in advance on the anniversary of your signup date
  • Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
  • Price Changes: We reserve the right to change pricing with 30 days' notice to existing subscribers
  • Taxes: All prices are exclusive of applicable taxes, which you are responsible for paying
  • Payment Failure: Failure to pay will result in immediate downgrade to Free tier and possible account suspension

5.3 Refund Policy

We offer a 7-day satisfaction guarantee for first-time subscribers. If you are not satisfied with the Service within seven (7) calendar days of your initial subscription purchase, you may request a full refund by contacting support@solsentinel.io. The following conditions apply:

  • Eligibility: The 7-day guarantee applies only to your first subscription purchase with SolSentinel
  • Request Method: Contact support@solsentinel.io within 7 days of your initial charge
  • Processing: Approved refunds are processed within 5-10 business days via your original payment method
  • After 7 Days: No refunds are available after the 7-day window. You may cancel at any time to prevent future charges, and you will retain access until the end of your current billing period
  • Renewals: Subsequent billing cycles (monthly or annual renewals) are not eligible for refund
  • Abuse: We reserve the right to deny refund requests that appear fraudulent or abusive (e.g., repeated subscribe-refund cycles)

5.4 Usage Limits

Each tier has specific usage limits. Exceeding these limits may result in:

  • Temporary service suspension until limits reset (monthly)
  • Automatic upgrade prompts for higher tiers
  • For Enterprise tier: overage charges for files exceeding standard limits

6. Intellectual Property Rights

6.1 Your Content

You retain all ownership rights to the smart contracts and code you upload ("Your Content"). By uploading Content, you grant us a limited, non-exclusive, worldwide license to:

  • Process and analyze Your Content using our AI and analysis tools
  • Store Your Content temporarily for the duration of the analysis
  • Generate Audit Reports based on Your Content

We do NOT:

  • Claim ownership of Your Content
  • Use Your Content to train AI models without explicit permission
  • Share Your Content with third parties except as required for Service provision (e.g., Claude AI/Grok AI for analysis)
  • Retain Your Content after analysis is complete (unless Enterprise archival is enabled)

6.2 Our Service

SolSentinel and all related intellectual property (software, algorithms, UI, documentation, trademarks) are owned by us and protected by copyright, trademark, and other laws. You may not:

  • Copy, modify, or reverse-engineer our Service
  • Remove or obscure any proprietary notices
  • Use our Service to build competing products
  • Resell or redistribute our Service without authorization

7. Acceptable Use Policy

You agree NOT to use the Service for:

  • Illegal Activities: Analyzing code for scams, rug pulls, malicious smart contracts, or any illegal purpose
  • Malware Distribution: Uploading viruses, malware, or malicious code
  • Unauthorized Access: Attempting to breach our security or access other users' accounts
  • Spam/Abuse: Creating multiple accounts to circumvent usage limits
  • Harassment: Using the Service to harass, threaten, or harm others
  • IP Infringement: Uploading code you don't have rights to use
  • System Abuse: Overloading our systems with excessive requests or automated scripts (unless using official API)

Violation of this policy may result in immediate account termination and legal action.

8. Disclaimers and Limitations of Liability

8.1 NO WARRANTY

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We specifically disclaim:

  • Accuracy: We do not guarantee that our Audit Reports are complete, accurate, or error-free
  • Security: We do not warrant that analyzed contracts are secure or free from vulnerabilities
  • Availability: We do not guarantee uninterrupted or error-free Service
  • Fitness: We do not warrant that the Service meets your specific requirements

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are NOT liable for any indirect, incidental, consequential, special, or punitive damages
  • This includes damages from: loss of profits, data loss, business interruption, smart contract exploits, financial losses from deployed code
  • Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim
  • For Free tier users, our liability is limited to $100 USD

8.3 Smart Contract Risks

YOU ACKNOWLEDGE AND AGREE THAT:

  • Smart contract security is complex and evolving
  • No automated tool can detect all vulnerabilities
  • Audit Reports are guidance tools, not security guarantees
  • You are solely responsible for conducting thorough testing before production deployment
  • You should engage professional security auditors for high-value contracts
  • SolSentinel is NOT liable for any exploits, hacks, or financial losses resulting from deployed contracts

9. Indemnification

You agree to indemnify, defend, and hold harmless SolSentinel, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Any smart contracts you deploy based on our Audit Reports
  • Any Content you upload or submit

10. Third-Party Services

Our Service integrates with third-party services, including:

  • Auth0: Authentication and user management
  • Stripe: Payment processing
  • Claude AI (Anthropic): AI-powered analysis (primary)
  • Grok AI (X.AI): AI-powered analysis (fallback)
  • Infura: Ethereum blockchain access
  • Wake, Mythril, Foundry, Solhint: Open-source analysis tools

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party service failures or data practices.

11. Privacy and Data Protection

Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

  • We collect: email, username, payment info, uploaded code, usage data
  • We use: Auth0 (authentication), Stripe (payments), Claude AI/Grok AI (analysis)
  • We comply with: GDPR (EU), CCPA (California)
  • You have rights to: access, deletion, portability, opt-out

12. API Usage Terms

If you use our API (Pro/Enterprise tiers), you additionally agree to:

  • Rate Limits: Respect API rate limits (100 requests/hour for non-cached endpoints)
  • API Keys: Keep API keys confidential and secure
  • Key Management: Pro tier: 5 keys maximum, Enterprise: unlimited
  • Key Revocation: We may revoke keys for abuse or Terms violations
  • Attribution: Do not misrepresent API results as your own analysis
  • Caching: You may cache API responses for up to 24 hours

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective:

  • Immediately for new users upon acceptance
  • 30 days after notification for existing users

We will notify you of material changes via:

  • Email to your registered address
  • In-app notification upon next login
  • Prominent notice on our website

Continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you disagree, you must stop using the Service and cancel your account.

14. Termination

14.1 By You

You may terminate your account at any time through Settings > Account > Delete Account. Upon termination:

  • Your access to paid features ends immediately
  • You retain access until the end of your current billing period (refunds subject to Section 5.3)
  • Your data will be deleted within 30 days (except as required by law)

14.2 By Us

We may suspend or terminate your account immediately for:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal conduct
  • Non-payment (after 7-day grace period)
  • Security concerns

We will provide notice when reasonably possible, but may terminate without notice for serious violations.

14.3 Effect of Termination

Upon termination:

  • All licenses granted to you terminate immediately
  • You must cease all use of the Service
  • Sections 6, 8, 9, 14.3, 15, 16, and 17 survive termination

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Idaho, United States, without regard to conflict of law principles.

15.2 Dispute Resolution

For any dispute arising from these Terms or the Service:

  1. Informal Resolution: Contact us first at legal@solsentinel.io to attempt resolution
  2. Mediation: If informal resolution fails, both parties agree to mediation before litigation
  3. Arbitration: Any remaining disputes shall be resolved through binding arbitration under the American Arbitration Association rules
  4. Class Action Waiver: You waive the right to participate in class action lawsuits or class-wide arbitration

15.3 Jurisdiction

If arbitration is not enforceable, disputes shall be resolved in the state and federal courts of Idaho, and you consent to personal jurisdiction there.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SolSentinel.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

16.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms to any affiliate or successor.

16.5 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, wars, pandemics, government actions, network failures).

16.6 Export Compliance

You agree to comply with all export control laws when using the Service.
